Welcome to Vialink! These Terms of Service ("Terms") govern your use of the Vialink website, services, and applications (collectively, the "Service") provided by Vialink ("we," "us," or "our"). By accessing or using our Service, you agree to be bound by these Terms. If you do not agree to these Terms, please do not use our Service.

1. Service Description

Vialink is a URL shortening service that allows users to create shortened aliases for long URLs. We may also offer additional features such as link analytics, custom aliases, and API access, subject to selected service plans.

2. User Accounts

To access certain features of the Service, you may be required to create an account. You agree to:

  • Provide accurate, current, and complete information during the registration process.
  • Maintain the security of your password and accept all risks of unauthorized access to your account.
  • Promptly notify us if you discover or otherwise suspect any security breaches related to the Service.

You are responsible for all activities that occur under your account.

3. Acceptable Use

You agree not to use the Service for any unlawful or prohibited purpose, including but not limited to:

  • Shortening URLs that redirect to malicious content (e.g., phishing, malware, spam).
  • Shortening URLs that link to illegal, abusive, defamatory, obscene, or hateful content.
  • Generating unsolicited commercial email (spam) using Vialink links.
  • Violating any applicable local, state, national, or international law.
  • Attempting to gain unauthorized access to our systems or engage in any activity that disrupts, diminishes the quality of, interferes with the performance of, or impairs the functionality of, the Service.
  • Using the Service to shorten links that redirect to other URL shorteners or engage in practices that obscure the final destination in a deceptive manner.

We reserve the right to suspend or terminate your access to the Service and remove your links if we determine, in our sole discretion, that you have violated these Terms.

4. Intellectual Property Rights

Other than the content you own (such as your original long URLs), Vialink and/or its licensors own all the intellectual property rights and materials contained in this Service, including our brand, logos, website design, and software.

You are granted a limited license only for purposes of using the Service in accordance with these Terms.

5. User Content (Shortened Links)

"Your Content" means the original URLs you submit for shortening and any custom aliases you create. You retain all ownership rights to Your Content.

By using the Service, you grant Vialink a worldwide, non-exclusive, royalty-free license to use, reproduce, distribute, and display Your Content solely for the purpose of operating and providing the Service.

Vialink does not screen content but reserves the right to remove any shortened link or terminate accounts for links that violate these Terms.

6. Paid Services and Subscriptions

Certain features of the Service may be offered on a subscription basis. If you purchase a subscription:

  • Fees are billed in advance on a recurring basis (e.g., monthly or annually) as specified at the time of purchase.
  • Subscriptions will automatically renew unless canceled by you through your account settings or by contacting support prior to the renewal date.
  • All fees are non-refundable, except as expressly stated in our Refund Policy or as required by law.
  • We may change our subscription fees from time to time. We will provide you with reasonable prior notice of any change in subscription fees.

7. Termination

We may terminate or suspend your access to our Service immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or delete your account if such an option is available.

8. Disclaimers and No Warranties

The Service is provided "AS IS" and "AS AVAILABLE," with all faults, and Vialink expresses no representations or warranties, of any kind related to this Service or the materials contained on this Service. We do not warrant that the Service will be uninterrupted, error-free, or completely secure.

9. Limitation of Liability

In no event shall Vialink, nor any of its officers, directors, and employees, be held liable for anything arising out of or in any way connected with your use of this Service, whether such liability is under contract, tort, or otherwise. Vialink, including its officers, directors, and employees, shall not be held liable for any indirect, consequential, or special liability arising out of or in any way related to your use of this Service.

10. Indemnification

You hereby indemnify to the fullest extent Vialink from and against any and/or all liabilities, costs, demands, causes of action, damages, and expenses arising in any way related to your breach of any of the provisions of these Terms.

11. Severability

If any provision of these Terms is found to be invalid under any applicable law, such provisions shall be deleted without affecting the remaining provisions herein.

12. Variation of Terms

Vialink is permitted to revise these Terms at any time as it sees fit, and by using this Service, you are expected to review these Terms on a regular basis to ensure you understand all terms and conditions governing use of this Service.

13. Assignment

Vialink is allowed to assign, transfer, and subcontract its rights and/or obligations under these Terms without any notification. However, you are not allowed to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

14. Entire Agreement

These Terms constitute the entire agreement between Vialink and you in relation to your use of this Service and supersede all prior agreements and understandings.

15. Governing Law & Jurisdiction

These Terms will be governed by and interpreted in accordance with the laws of India, without regard to its conflict of law provisions, and you submit to the non-exclusive jurisdiction of the state and federal courts located in India for the resolution of any disputes.
